Host Agreement for 24Solar Mobile App

This Host Agreement establishes the legally binding contract between you, acting as an independent event creator or organizer ("Host"), and Eaglesoft (Hong Kong) Limited ("Company"). By listing, scheduling, or managing any event on the 24Solar App, you accept these terms in full.

1. Independent Status

Hosts operate independently of the platform. You are a regular user of a tech matching layout and are not an employee, corporate agent, legal worker, or joint partner of the Company. You possess zero structural authority to execute contracts, enter financial commitments, or assume liabilities on behalf of Eaglesoft (Hong Kong) Limited.

2. Host Safety Standards & Common Law Duty of Care

As the independent creator and primary real-world organizer of an activity within Hong Kong, you carry an independent baseline Duty of Care toward your attendees under Hong Kong Common Law. You acknowledge that you do not act on behalf of, or under the direction of, the Company. You agree to fulfill this duty by:

  • Exercising reasonable care in selecting venues that the Host reasonably believes to be suitable, safe, and lawful for the intended activity.
  • Providing accurate descriptions of event difficulty parameters and upfront venue cost breakdowns to ensure transparency and prevent physical safety hazards.
  • Emergency Readiness: For sports or outdoor events, you are expected to be aware of the nearest first-aid facilities or emergency contact options.

3. Alcohol, Licensing, and Statutory Compliance

If you organize a social gathering or match environment where liquor is present:

  • Strict Cap. 109 Adherence: You must comply with the Dutiable Commodities Ordinance (Cap. 109). You are prohibited from commercializing liquor packages, reselling alcohol to participants, or bundling drink tickets into a paid event configuration unless you or the venue hold a valid, active liquor license. You agree to monitor behavior to prevent excessive intoxication.
  • Minors Protection: You must ensure no individual under 18 years of age is provided with, served, or allowed to consume alcohol at your listed gathering.

4. Public Spaces, Nuisance, and Weather Compliance

  • LCSD & SmartPLAY Compliance: When using government-managed public sports centers, fields, or courts, you must adhere to all Leisure and Cultural Services Department operational codes, including completing mandatory on-site check-in protocols via the SmartPLAY platform. Utilizing unauthorized identity configurations or engaging in secondary scalping/reselling of public court allocations will result in an immediate permanent ban.
  • Noise Control: You must monitor your gathering's noise level to remain in alignment with the Noise Control Ordinance (Cap. 400), ensuring no unreasonable acoustic nuisance is created in residential sectors or during restricted nighttime hours.
  • Weather Monitoring & Venue Compliance: As the independent organizer, you are responsible for monitoring local weather conditions and alerts (including Thunderstorm Warnings, Typhoon Signals, or Rainstorm Warnings) and verifying whether your chosen venue operator enforces mandatory closures. Any weather metrics or forecasts displayed within the application are for general informational reference only; the application will not automatically cancel, alter, or mark your event with a warning status due to weather. You hold the independent decision-making authority and individual liability regarding whether to safely proceed with, postpone, or manually cancel your physical gathering. The Company assumes no operational responsibility or civil liability for weather-related disruptions, venue closures, or injuries resulting from your decision to host an activity during adverse weather.

5. Financial Transparency and the Trade Descriptions Ordinance (TDO)

5.1 Shared Cost Collection

The collection, tracing, and management of cash shares or venue costs are your administrative responsibility. The Company will not act as an arbitrator, mediator, or escrow holder for financial disputes between you and participants.

5.2 Strict TDO (Cap. 362) Compliance

If you use this platform for commercial gain, profit, or professional coaching services, you must disclose your commercial status inside the event description field. Under the Trade Descriptions Ordinance (Cap. 362), you are prohibited from publishing false trade descriptions, deceptive pricing matrixes, or misleading omissions regarding your professional athletic qualifications or event costs. You are responsible for managing payments and providing receipts where required by the TDO. Any violation of Cap. 362 remains your individual legal liability.

6. Host Indemnity (The "Hold Harmless" Clause)

You agree to indemnify, defend, and hold harmless Eaglesoft (Hong Kong) Limited and its corporate officers from and against any third-party civil claims, statutory enforcement actions, losses, damages, or liabilities (including participant injuries or venue damage claims) resulting from your listed activity, your operational mismanagement, or your negligence as a Host. You agree to absorb all associated legal defense expenses incurred by the Company.

7. Governing Law and Jurisdiction

This Agreement shall be interpreted, governed, and construed in accordance with the laws of the Hong Kong Special Administrative Region. Both the Host and the Company agree that the courts of Hong Kong hold jurisdiction to settle any legal dispute, friction, or lawsuit line arising from this contract.
