Terms of Use for 24Solar Mobile App

1. Our Role: Limited Digital Platform

1.1 Intermediary Scope

Eaglesoft (Hong Kong) Limited provides a digital technology platform for users to list and discover casual sports and social events. The Service is designed primarily for the Hong Kong market and is limited to the provision of a matching interface. While map selection tools within the application may technically allow users to drop markers and list locations outside of Hong Kong, any use of the software, event creation, or real-world participation outside of Hong Kong is at the user's own risk and governed by Section 7.1. By using this app, you acknowledge and agree to the following terms:

• Neutral Intermediary: We operate as a tech matching layer. We are not an agent, partner, or joint venturer for any host, participant, or venue. We do not vet the character, safety, legal background, or operational status of third-party events or venues.
• No Organizational Control: We do not organize, manage, supervise, host, or provide any athletic training, physical equipment, coaching staffing, or safety facilities for events listed on the platform.
• Venue/Host Responsibility: Any statutory or common law duty of care regarding the physical safety of the event, the suitability or compliance of participants, the quality/integrity of sports equipment, or the upkeep and maintenance of the venue rests with the Event Host and/or the Venue Provider under Hong Kong law.

These Terms incorporate by reference our Host Agreement and Participant Terms & Waiver. By using the Service, you agree to comply with all such unified terms.

1.2 No Financial Involvement

The 24Solar App is an event discovery tool only. We do not provide inside-app payment processing channels, digital wallets, or ledger escrow services. Any "entry fees," "court fee splits," or "join costs" listed by an individual Host are handled, collected, and paid directly by the Participant to the Host off-platform. Eaglesoft (Hong Kong) Limited does not collect, transit, hold, or split any user funds, and is not a party to any transaction. All disputes regarding cash handling, payment transfers, or refund defaults are strictly between the Participant and the Host.

2. Eligibility, Age Requirements and User Conduct

By creating an account and using the Service, you represent and warrant that:

• Strict 18+ Age Requirement: You are at least 18 years of age and possess full legal capacity under Hong Kong law to enter into these binding Terms. Due to the physical safety requirements, community coordination dynamics, and mixed social nature of events organized on this platform (including gatherings where alcohol may be naturally present), the Service is closed to individuals under the age of 18. Registration by a minor is a material breach of these Terms.
• User Declaration and Self-Certification: The Service relies on your self-certification and contractual declaration that you are at least 18 years of age. The Company does not actively verify the age of users upon registration or account creation. However, we reserve the right to suspend or terminate any account if it is brought to our attention or discovered that the user is under the age of 18.
• Health Representation: You are responsible for determining whether you are physically capable of safely participating in any Event and for obtaining any medical advice you deem appropriate. The Company carries zero liability for your personal health assessments or choices.
• Prohibited Conduct: Users shall not exploit the platform for illegal actions, multi-level marketing, unauthorized commercial promotions, harassment, space scalping, or the coordination of unsanctioned public gatherings that violate the Public Order Ordinance (Cap. 245).
• Off-Platform Interactions: You are responsible for your interactions with other users, both online within the platform interface and offline in the real world. The Company does not screen users, monitor private communications, or arbitrate interpersonal disputes. We disclaim liability for any defamation, harassment, deceptive conduct, theft, property damage, or personal injury resulting from interactions between users outside the direct software architecture of the Service.
• Compliance with Hong Kong Liquor Laws: Users must abide by the laws of Hong Kong regarding the purchase, supply, and consumption of alcohol. Minor consumption is barred. The Company disclaims liability for violations of Hong Kong alcohol regulations by platform participants.

3. Liability and the "Control of Exemption Clauses Ordinance"

Subject to the requirements of the Control of Exemption Clauses Ordinance (Cap. 71 of the laws of Hong Kong):

• Scope of Our Negligence: Our operational liability is limited to the immediate digital availability and server-side cybersecurity maintenance of the application software layer (e.g., severe backend data breaches caused by our proven negligence).
• Third-Party Negligence: Because Eaglesoft (Hong Kong) Limited does not own, lease, deploy, or manage physical locations or sports equipment, any negligence resulting in physical injury, property damage, or death at an event is the civil liability of the third-party Host, the venue operator, or the individual participants involved. You acknowledge that we are not a party to the real-world operational interactions between you and the Host.

4. Assumption of Risk & Voluntary Participation

4.1 Voluntary Assumption of Risk

You acknowledge that sports activities (e.g., football, basketball, badminton, running groups) carry inherent physical risks of injury. Social events (e.g., group gatherings) involve environmental risks such as undisclosed food allergens, alcohol exposure, or unpredictable interpersonal interactions. You join all platform-discovered meetups voluntarily and at your own risk. Eaglesoft (Hong Kong) Limited assumes no responsibility for physical accidents, medical emergencies, or civil altercations occurring during, before, or after an event.

4.2 No Insurance Provided

Eaglesoft (Hong Kong) Limited is a digital technology provider, not an event organizer or insurer. We do not maintain, provide, or facilitate any public liability, personal accident, medical, or third-party property insurance coverage for any events, Hosts, or Participants. All users (both Hosts and Participants) are responsible for obtaining their own personal sports, health, or liability insurance policies as they deem necessary.

5. Waiver and Release of Liability

To the maximum extent permitted by applicable law within the Hong Kong Special Administrative Region, and except for those specific liability vectors which cannot be legally excluded or limited under Cap. 71, you hereby release and discharge Eaglesoft (Hong Kong) Limited, its corporate officers, directors, and employees from any claims resulting from:

• Physical injury, bodily harm, temporary or permanent disability, or death occurring at an event location.
• Property damage, structural loss, or theft of personal items at a venue.
• Interpersonal civil disputes, harassment, or altercations occurring between users.
• Cancellations: We carry no financial liability for costs or logistics spent due to a host cancelling an event listing.
• Financial Claims: Any friction regarding split court payments, activity fee collections, or missing refund allocations.

Ordinary accidental physical injuries resulting naturally from gameplay remain governed by the assumption of risk parameters outlined in Section 3 of the Participant Terms & Waiver.

6. Intellectual Property

All source code, design layouts, visual configurations, branding iconography, typography palettes, and matching system algorithms (including the 24Solar™ trademark) are the property of Eaglesoft (Hong Kong) Limited. Scraped extraction, decompilation, or reproduction is prohibited.

6.1 Third-Party Design Assets and Attribution

Portions of this application's user interface and layout frameworks are adapted from the EventHub template built by Vedanti Patel via the Figma Community. These assets are utilized and modified under the terms of the Creative Commons Attribution 4.0 International (CC BY 4.0) license. This implementation carries no structural endorsement, corporate sponsorship, or affiliation by the original creator with our Company.

6.2 User-Generated Content License

The Service allows you to upload text, profile elements, sport metrics, and event media ("User Content"). You retain title ownership of your content. However, by uploading files to the app, you grant Eaglesoft (Hong Kong) Limited a non-exclusive, royalty-free, perpetual, and sublicensable license to host, display, mirror, and distribute your User Content for the purposes of executing, scaling, and promoting the 24Solar Mobile App within the Hong Kong market ecosystem. You represent that your uploads do not violate third-party intellectual property or privacy parameters. You agree to defend, indemnify, and hold harmless Eaglesoft (Hong Kong) Limited from any third-party civil claims or legal expenses arising from content you upload, including but not limited to intellectual property infringement, defamation, privacy violations, publicity-right violations, or unlawful content.

7. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS RENDERED ACCORDING TO AN "AS IS" AND "AS AVAILABLE" BLUEPRINT.

• We do not warrant that information or booking parameters posted by independent Hosts are accurate or verified.
• We do not conduct criminal background checks, safety assessments, reference checks, age checks, or identity verification of Hosts, Participants, or other users. The Service relies on user self-certification regarding age and eligibility, and we do not independently verify that users meet the minimum age requirements.
• We do not warrant that software availability will be uninterrupted, secure, or free from minor display bugs.

7.1 Geographic Boundary

The Service is designed, hosted, and operated primarily for use within the Hong Kong Special Administrative Region. While the application may be technically available for download globally, we make no representation that its features, data layouts, or legal parameters are appropriate, legal, or functional for physical use outside of Hong Kong. Anyone accessing or using the Service from outside Hong Kong does so at their own risk and remains responsible for compliance with their immediate local laws.

7.2 No Endorsement or Verification

The inclusion of any Host, Participant, venue, or event listing on the Service does not constitute an endorsement, verification, sponsorship, or recommendation by the Company. We do not verify the truth, accuracy, or quality of user-generated descriptions, credentials, or facility profiles. Furthermore, the Company does not certify, endorse, supervise, evaluate, or verify any coach, trainer, instructor, qualification, accreditation, or coaching service offered through the platform. You acknowledge that any reliance on user-generated content, coaching claims, or platform listings is at your own independent discretion.

7.3 In-App Weather Information Disclaimer

The Service may display third-party weather forecasts, alerts, or climatic metrics within the user interface, sourced via the Google Maps Platform Weather API. This data is provided strictly as a general, informational reference tool "as is" and "as available". The Company does not generate this meteorological data, does not guarantee its accuracy, timeliness, or completeness, and carries zero liability for delayed or erroneous forecasts. The App does not automatically monitor real-time weather changes, does not automatically cancel or postpone listings, and will not automatically change an Event's status or display automated warnings due to adverse conditions. The decision to track weather changes, evaluate safety, and proceed with, alter, or manually cancel an event remains with the independent Host and the individual Participants based on real-world conditions. The Company carries zero liability for decisions made by users to proceed with, travel to, or attend an event during adverse weather.

7.4 Financial Liability Cap

To the maximum extent permitted under the Control of Exemption Clauses Ordinance (Cap. 71), the total aggregate liability of Eaglesoft (Hong Kong) Limited to any user for all claims, losses, damages, or causes of action arising out of or in connection with the Service (whether in contract, tort, negligence, or otherwise, excluding liability for death or personal injury resulting from negligence where such liability cannot legally be excluded under applicable Hong Kong law) shall be capped at and limited to HKD $1,000.

7.5 No Duty to Monitor

The Company acts as a passive conduit for user-generated listings. The Company has no legal obligation to proactively monitor, screen, audit, or review Events, Hosts, Participants, private communications, User Content, venue conditions, or real-world user conduct, and assumes no responsibility or liability for doing so.

7.6 Venue Disclaimer

The Company does not inspect, certify, approve, audit, monitor, verify, or otherwise assess the safety, legality, accessibility, suitability, maintenance, ownership, condition, or operational status of any venue listed through the Service. Any venue information displayed on the Service is provided by independent Hosts or third parties. The Company makes no representations or warranties regarding any venue and assumes no responsibility for injuries, losses, damages, hazards, defects, closures, accessibility issues, or legal compliance relating to any venue.

8. Indemnification

You agree to indemnify and hold harmless Eaglesoft (Hong Kong) Limited from any civil claims, corporate damages, regulatory penalties, or legal fees arising from your material breach of these Terms, your physical actions at a platform-listed event, or any damage or injury you inflict on another participant or a venue within Hong Kong.

9. Personal Data and Privacy

Your data use parameters are governed by our Privacy Policy, which is aligned with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong.

9.1 Account Suspension and Termination

Eaglesoft (Hong Kong) Limited retains the right, at its discretion and without structural liability or required prior notification, to freeze, restrict, or permanently erase your user profile for material breaches of these Terms, repeated unexcused "no-shows", unsafe conduct patterns reported by community blocks, or profiles found under the required 18+ age tier.

10. Governing Law and Jurisdiction

10.1 Choice of Law & Jurisdiction

These Terms shall be interpreted, governed, and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute, statutory claim, or civil action arising out of or relating to these Terms or platform interactions shall be submitted to the jurisdiction of the courts of Hong Kong.

10.2 Severability

If any sub-clause of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that section will be restricted to the minimum extent necessary, and the remaining legal blocks will maintain full structural integrity.
